This transition will e nable greater alignment of our corporate and governance structure with the growing scale and national scope of the Society’s work.\n\nTransitionin g to a CLG will also require a change to our constitution to align with th e requirements of the Corporations Act 2001 (Cth).\n\nNEXT STEPS\n\nThe pr oposed transition and changes to the constitution will require member appr oval by special resolution\, which will be sought at the 2025 Annual Gener al Meeting on 1st December 2025. A high-level timeline of the transition i s set out below:\n\n\n\nJune 2025\nInitial notice of proposal to members. First Member Town Hall – overview of the proposed transition\n\n\nAugust 2025\nShare draft constitution with members\n\n\nSeptember 2025\nSecond M ember Town Hall – discussion on the draft constitution\n\n\nOctober 2025 \nFormal notice of AGM provided to members (incl. proposed special resolut ions and final draft constitution)\n\n\nDecember 2025\n2025 AGM\n\n\nDecem ber 2025 – February 2026\nSubject to approval of the proposed special re solutions at the 2025 AGM\, complete all necessary actions to transition t o a CLG and implement the revised constitution.\n\n\n\n \;\n\nMEMBER T OWN HALL MEETINGS\n\nThe Board will be hosting two Town Halls and members are encouraged to attend. These will be an opportunity for members to ask questions and seek further information on the proposed changes to the corp orate structure/constitution.
